Xavier Niel Acquires Vodafone Stake to Reshape European Telecom Landscape

French telecom investor Xavier Niel, via his family acquisition vehicle Vega, has agreed to buy a 16.21% stake in Vodafone from UAE telecom group e& for USD 5.9 billion. Pending regulatory approvals, he will become Vodafone’s largest shareholder. The transaction signals a new round of consolidation and cost-cutting reforms across the European telecom sector.

The deal is priced at 112.5 pence per share, representing a 15% premium to the pre-announcement share price. Vodafone’s stock rose by roughly 13% after the news release. e& purchased this stake four years ago and is fully exiting the investment. The two parties have terminated their prior strategic cooperation agreement, and e& board representatives have stepped down from Vodafone’s board of directors. The transaction will deliver a net cash return of USD 1.3 billion to e&.

Xavier Niel already controls telecom assets including Iliad, Salt, Eir and Millicom across Europe, the US and Latin America. This new shareholding further expands his telecom footprint in Europe, Africa and Latin America. Vodafone is undergoing restructuring, continuously divesting non-core overseas assets to focus on businesses in its high-priority regions. Market consensus expects that, in line with the investor’s track record, Vodafone may roll out large-scale cost reduction programmes and further simplify its organisational structure.

The transaction also reflects an industry trend where telecom equity is gradually concentrated in the hands of a small number of specialist investment institutions. Going forward, Vodafone will unlock value from its existing operations while pursuing more flexible capital activities such as minority equity investments and selective acquisitions.
