Orange Group has completed a landmark transaction for full acquisition of MásOrange. The deal reshapes the shareholding structure of Spain’s telecom operator and exerts medium‑ and long‑term impacts on A2P messaging wholesale business and operator market landscape.
On 8 June 2026, Orange formally closed the acquisition. It paid €4.25 billion in cash to purchase the remaining 50 % stake in MásOrange from joint‑venture partner Lorca and obtained 100 % full ownership of MásOrange. The acquisition agreement was signed as early as 12 December 2025. Closing took place after securing full regulatory approval from the European Commission, marking a key milestone under Orange’s “Trust the future” corporate strategy.
Following the acquisition, MásOrange will fully unlock industrial, operational and commercial synergies to boost its market value in Spain, which becomes Orange Group’s second‑largest European market. Former MásOrange CEO Meinrad Spenger will join Orange Group’s Executive Committee, highlighting the strategic importance of Spanish operations. As of Q1 2026, MásOrange serves 26 million mobile subscribers and 7.1 million fixed‑broadband customers, with well‑established fibre‑optic and 5G infrastructure.
In terms of business qualifications, MásOrange fully retains its CNMC‑PRO entity qualification and can independently process A2P alphanumeric‑sender alias registrations. The group plans to carry out phased refinancing for MásOrange’s legacy debt. After full acquisition, enterprise messaging, wholesale A2P‑SMS and RCS services will gain deep access to Orange’s global resources. Existing cooperation channels for local Spanish government‑enterprise clients and cross‑border international service providers will remain intact.
